Partner Programme Terms
Draft for legal review. Not in effect.
1. What the programme is. SIA "Vox Intelligence" (reg. No. 40203784899, Riga, Latvia; "Vox") pays commission to partners who introduce new clients to Vox. The partner only makes the introduction. Vox handles the demo, the client contract, setup, training, support and invoicing.
2. Who can be a partner. A company or registered self-employed person in Europe that has signed a written partner agreement with Vox. If these terms differ from the partner agreement, the agreement prevails.
3. Commission. 20% of the subscription actually paid by the client (excluding VAT) during the client's first 12 paid months, and 10% of the setup fee actually paid by the client (excluding VAT). Extra minutes, telephony, third-party licences and other add-on services are excluded.
4. Free setup. If the client receives setup free of charge under a promotion, commission is paid on the subscription only.
5. Attribution. The partner receives a personal code and link. A client is attributed to the partner if they (a) arrive via the partner link, (b) state the partner code in their request, or (c) the partner registers them in advance in writing to info@voxintelligence.ai. A registration is valid for 90 days. If several partners refer the same client, the first to register wins. Existing Vox clients and clients already in talks with Vox are not attributed.
6. Payout. Vox sends the partner a monthly statement of attributed clients and commission. The partner issues an invoice, which Vox pays within 14 days. Payout is made once the accrued amount reaches €50.
7. Clawback. If a client terminates within 3 months of signing and is refunded, commission on the refunded amount is deducted from the next payout.
8. Data. The partner has no access to client conversations or data in the Vox platform. Vox shares only the client name, plan, amounts paid and the commission calculated.
9. Fair promotion. The partner uses only Vox-approved materials, does not promise features, prices or discounts not approved by Vox, and does not hide that calls are answered by an AI assistant. The partner is not Vox's agent and may not conclude contracts on Vox's behalf.
10. Pilot period and changes. These are pilot terms. After 12 months Vox and the partner review the cooperation and may agree on an extended commission or exclusive status in an industry or region. Vox may change these terms only for future periods and new clients, with at least 30 days' written notice. Commission already earned is not affected.
11. Exclusivity. Standard partnership is non-exclusive. Exclusive status can only be granted in a separate written agreement.
12. Termination. Either party may end the partnership with 30 days' written notice. Commission for clients attributed before termination continues until the end of those clients' 12-month period, unless termination is due to a material breach by the partner.
13. Governing law. The laws of the Republic of Latvia. Disputes are first resolved through negotiation.
